The Open Cap Table Coalition (OCT) is a groundbreaking industry initiative uniting leading law firms, equity management providers, and other key players in the cap table ecosystem. Its mission is to enhance the interoperability, transparency, and portability of cap table data.
By establishing standardized formats and protocols, the OCT aims to revolutionize how cap table information is shared and utilized. This will significantly benefit companies, investors, and other stakeholders by reducing errors, streamlining processes, and fostering greater trust.

Challenges of the Traditional Cap Table Ecosystem
Prior to the OCT, companies, law firms, and investors grappled with managing cap table data inconsistencies due to the various formats and terminology, leading to confusion, errors, and communication breakdowns. This lack of standardization hindered portability, making it time-consuming and error-prone to transfer cap table information between systems.
Benefits of the Open Cap Table Standard
By standardizing cap table formats and protocols, cap table management becomes a more streamlined process. Key benefits of this include:
- Streamlined Review Processes: Standardized cap table formats enable faster review during critical events like funding rounds and secondary sales, accelerating activity in the private markets.
- Enhanced Service Provider Innovation: A common data format allows service providers to focus on developing innovative features beyond basic data storage, fostering competition and benefiting customers and the ecosystem at large.
- Reduced Data Lock-In: Standardization lessens reliance on specific providers, empowering customers to choose solutions that best meet their needs.
Open Cap Table Format (OCF)
One outcome of the OCT has been the development of the Open Cap Table Format (OCF), an open-source standard for capitalization data management. OCT members are working towards OCF compliance, which will enable founders, startup operators, and law firms to use a single cap table format. OCF aims to prioritize companies’ evolving needs and enhance ecosystem efficiency. The technical details of this open source format can be reviewed on Github.
